These Terms and Conditions regulate the sale of products on the website www.promo77.com. Users are encouraged to read them carefully before placing any order.
1. Ideas just a click away
On the website www.promo77.com (hereinafter, the “Website”), Promo 77 S.r.l. — Tax Code and VAT Number 01938331202, with registered office at Via Corte 2/A, 40012 Calderara di Reno (Bologna, Italy) (“Promo 77”) — makes available a wide catalogue of gadgets, accessories and apparel (“Products”), which can be purchased and, where applicable, customized by customers (“Customers”) through the Website’s e-commerce platform (“E-commerce”).
2. Customers
The E-commerce Customers can be both end consumers aged 18 or over (B2C sales channel, hereinafter “Consumers”) and entities with a VAT Number (B2B sales channel, hereinafter “Professionals”). When registering on the Website, each Customer is required to enter their data and specify whether they intend to make purchases as a Consumer or a Professional. In particular, the Customer who, during registration, enters a VAT Number — their own or attributable to a company, firm, or association —, will be considered in all respects a Professional.
3. Contractual relationship and governing law
The purchase contracts (“Contract/s”) agreed between Promo 77 and the Customers on the Website or through any exchange of electronic correspondence (such as email or messaging), are regulated by: (i) these Terms and Conditions, available on the Website, which Promo 77 invites Customers to read carefully; (ii) the Order placed through the E-commerce (“Order”), if and as confirmed by Promo 77 through the corresponding order confirmation (“Order Confirmation”), all in accordance with the provisions on electronic commerce (Italian Legislative Decree no. 70/2003) and applicable Italian law. For purchases made by Consumers, the protections provided by European consumer protection law, implemented in Italy through Legislative Decree no. 206/2005 (“Consumer Code”), also apply. Where the national protection law of the Consumer’s country of residence or domicile provides more favorable protections, such law shall apply.
4. Products available for purchase
- Customers can purchase the Products listed in the virtual catalogue available on the Website, which displays the price in euros (always excluding VAT), the description, the technical sheet and the photographic representation. Please note that the Product images are for illustrative purposes only and may not accurately reflect the actual features of the Product, including colours and details, due to technical reasons not attributable to Promo 77.
- Promo 77 reserves the right to modify and update the Product information, without prior notice, without prejudice to the rights granted to Customers by these Terms and, where applicable, by the Italian Consumer Code. Promo 77 also reserves the right to correct any inaccuracies contained in Product descriptions, even after an Order has been submitted.
- Customers can purchase, through the E-commerce, both standard Products and customized Products. The latter can be configured by the Customer according to the available techniques (for example, printing or embroidery) and the options specified in the configuration sheet of the individual Product.
- Purchases on the E-commerce may be subject to reaching a minimum quantity of Products or a minimum spending amount.
5. Placing the Order, Conclusion of the Contract and Suspensive Condition
- To purchase a Product on the E-commerce, the Customer must register on the Website by creating an account. After logging in, the Customer may (i) select the Products from those available, optionally selecting the customization options, and add them to the virtual cart in the desired quantity, (ii) provide the necessary information for delivery and for issuing tax/commercial documents and (iii) pay the price according to the available payment methods.
- Before submitting the Order, the Customer will view the total price of the Products. In addition, the Customer will view taxes and duties required by the relevant national law, as well as shipping costs. In the event that the Customer requests delivery to one of the European Union countries served by Promo 77, shipping costs may vary based on the destination country, including any additional taxes, duties, or other additional costs, as will be indicated before completing the purchase.
- After the Order has been submitted, Promo 77 will send the Customer an Order Confirmation. The Contract is concluded when the Customer receives the Order Confirmation, subject to the suspensive condition concerning the receipt of payment for the Products and, for customized Products, the uploading of the file as provided for in the article “Personalization of Products”.
- Once the Products have been shipped, the Customer will receive an email containing information to track the delivery status of the Order.
6. Personalization of Products
- The Customer who intends to purchase a customized Product has to upload the file of the content they wish to print/reproduce on the Product (“File”) to the reserved area of the Website. The File must meet the technical requirements outlined on the Website. If, for any reason, uploading the File to the Website reserved area is not possible, the Customer may send the File to Promo 77 through alternative agreed methods (for example, via email or through third-party file-sharing services). In any case, Promo 77 remains available to provide Customers with the necessary support.
- Upon receiving the Customer’s File, Promo 77 will prepare a production graphic draft (“Graphic Draft”) and share it with the Customer by uploading it to the reserved area of the Website or sending it via email to the address provided by the Customer during registration.
- After receiving payment for the Order and the Customer’s approval of the Graphic Draft, Promo 77 will begin the customization process and will communicate the estimated delivery date of the Order.
- Promo 77 may entrust the customization of the Products to its partners.
- Unless the Customer raises objections related to the customization of the Products within the terms referred to in the article “Production Discrepancies. Forfeiture”, Promo 77 will proceed to delete the File from its archives after 60 (sixty) days from the delivery of the Products.
7. Customer’s Responsibility
- The Customer acknowledges, declares and guarantees (i) to be the holder of all rights related to the File and its content; (ii) that the File does not violate any third-party intellectual property rights and that its use and/or its reproduction does not result in the violation of any legal provision; (iii) to be solely responsible for checking the content of the File, including content accuracy, spelling and graphics; (iv) by accepting the Graphic Draft, to have checked and approved the draft and authorize Promo 77 to start the customization of the Products.
- The Customer undertakes to hold harmless and indemnify Promo 77 for any liability towards third parties who may complain of damages and/or prejudice and make claims for compensation and/or damages due to the content and/or the use of the File, including but not limited to violations of intellectual property rights, damages to reputation, name, decorum and moral integrity.
8. Order cancellation
- Should unforeseen logistical and organizational difficulties arise (for example, subsequent unavailability of the Products), Promo 77 has the right to cancel the Order by notifying the Customer via email. The Order cancellation does not entitle the Customer to compensation and/or damages (except in cases of fraud or gross negligence by Promo 77), without prejudice to the refund of the sums already paid by the Customer.
- Promo 77 reserves the right to cancel the Order in the following cases:
- the Customer who ordered a customized Product fails to upload the File, or fails to send it by the alternative methods agreed with Promo 77, within 15 (fifteen) days following receipt of the Order Confirmation;
- the Customer does not replace the File that does not comply with the technical specifications within 15 (fifteen) days following the request of Promo 77;
- the Customer does not respond to the Graphic Draft sent by Promo 77 within 15 (fifteen) days of its dispatch via email or its upload to the reserved area of the Website, where available;
- the Customer who ordered a customized Product and selected the mandatory delivery option fails to upload the File within the period compatible with the processing times required for the requested customization;
- the personal and/or billing data that the Customer entered during registration on the Website are incomplete or obviously false;
- a judicial or extrajudicial dispute is pending between the Customer and Promo 77 at the time of the Order;
- the Customer has been convicted of fraud or other property crimes or is involved in proceedings for crimes which, by their nature, may compromise trust between the parties regarding the performance of the Contract.
- Promo 77 will cancel the Order if: (i) the File includes defamatory, violent, contrary to public order or morality content; (ii) Promo 77 has reason to believe – at its sole discretion – that the content of the File may infringe third-party rights.
9. Shipping and delivery
- Unless otherwise communicated in the Order Confirmation and without prejudice to the suspensive condition of payment for the Products and, for customized Products, the final approval of the Graphic Draft, shipping is carried out by courier in Italy and in the European Union countries indicated on the Website. The delivery times are published on the Website or in the Purchase Guide. Shipping times are naturally subject to stops for public holidays and holiday periods in the countries of shipping, sorting and delivery of the Order, as well as any carrier strikes.
- The delivery times published on the Website or the different delivery times communicated by Promo 77, in any case never exceeding the maximum terms provided for by consumer protection regulations, are merely indicative. Promo 77 is not responsible for any delays in delivery attributable to accident or force majeure.
- By filling in the notes field of the Order (if available), the Customer may ask Promo 77 to receive the Order on a date specified by the Customer (so-called “mandatory delivery”). Delivery will only be considered mandatory if expressly accepted as such, in writing, by Promo 77, which will also communicate any additional shipping costs to the Customer. Promo 77 is not responsible for any delays in delivery, even if mandatory, attributable to accident or force majeure.
- The Products are shipped to the address indicated by the Customer during the online purchase procedure and delivery is made to the ground floor.
10. Risk of loss and damage upon delivery
- The risk of loss or damage to the Products during transport is: (i) always borne by the Professionals pursuant to article 1510, paragraph 2, of the Italian Civil Code; and (ii) borne by Promo 77, pursuant to article 63, paragraph 1, of the Italian Consumer Code in all other cases.
- If the Consumer selects the shipping carrier, the risk of loss or damage to the Products during transport is borne by the Consumer pursuant to article 63, paragraph 2, of the Italian Consumer Code.
11. Recommendations upon delivery
Promo 77 advises Customers to always accept the delivery “subject to verification” and to promptly formalize any specific claims regarding the number of packages and/or the condition of the packaging. This should be done by informing Promo 77 at the email address [Clienti@promo77.com] and attaching photographic documentation, so that the claim can be forwarded to the responsible party.
12. Consumer right of withdrawal, modalities and effects
- The Consumer who has purchased on the E-commerce can exercise the right of withdrawal (“Withdrawal”) on the purchase of the Products within 14 (fourteen) days starting from the Products delivery. The Withdrawal can be communicated to Promo 77 by sending an email to the address [Clienti@promo77.com] or by filling in the withdrawal form available at this link.
- The Consumer who enforces the Withdrawal within the aforementioned term: (i) returns the Products within 14 (fourteen) days from the communication of the Withdrawal, following Promo 77’s instructions; (ii) fully bears the costs of returning the Products subject to Withdrawal; and (iii) returns the Products intact, undamaged, in the original packaging, complete with packaging and documentation.
- After having verified the compliance with all the above conditions and obligations, Promo 77 will refund what was paid for the purchase of the Products subject to Withdrawal within 14 (fourteen) days from the receipt of the returned Products. This will be done, if possible, using the same payment method chosen by the Consumer for the purchase. The costs for returning the Products are borne by the Consumer.
- Promo 77 has the right to withhold the refund until it has received the Products or until the Consumer has demonstrated that they have shipped the Products, whichever occurs first.
13. Exclusion of Withdrawal
Withdrawal is excluded for (i) personalized Products in accordance with letter c) of article 59 of the Italian Consumer Code; and (ii) Products sealed for hygiene or health protection reasons and opened by the Consumer pursuant to letter e) of article 59 of the Italian Consumer Code, such as, for example, lip balms and body lotions.
14. Warranty. Duration, exercise, limits, remedies and exclusions
- Promo 77 guarantees the conformity of the Products with the applicable health, technical and safety regulations and standards pursuant to Italian and European Union law and guarantees that the Products are free from conformity defects.
- The legal conformity of the Product is guaranteed: (i) towards Consumers, for a period of 2 (two) years from delivery. The Consumer can report conformity defects of the Products within 26 (twenty-six) months from delivery; (ii) towards Professionals, for a period of 12 (twelve) months from the delivery date, provided that the forfeiture period of 8 (eight) days from delivery for obvious defects and 8 (eight) days from discovery in the case of hidden defects is respected.
- The Consumer who intends to report a conformity defect of the Products must communicate it to Promo 77 at the email address [Clienti@promo77.com] promptly and, in any case, within the limitation period of 26 (twenty-six) months from the delivery of the non-conforming Product.
- Once the actual existence of the claimed conformity defect has been evaluated, Promo 77 will send the Customer the instructions for exercising the applicable remedy under article 135 bis of the Italian Consumer Code.
- It is agreed that the warranty does not cover defects and/or faults arising from improper, negligent, careless, or unskilled use of the Products, taking into account their nature and characteristics. With specific reference to personal care Products, such as lip balms, creams and skin lotions, the Customer acknowledges and accepts that (i) the fragrance of the Products is subject to variations that do not depend on Promo 77’s activity and that (ii) once opened, these Products must be consumed within the terms possibly indicated. Therefore, the warranty is excluded in relation to Products not consumed within the term possibly indicated and/or any complaint attributable to a disliked smell.
15. Production discrepancies. Forfeiture
- Promo 77 cannot guarantee perfect correspondence between the Graphic Draft, viewed on the Customer’s monitor, and the Products resulting from customization. The Customer therefore expressly declares and acknowledges accepting a margin of tolerance in the event that the Product presents minimal differences in colour characteristics, production measurements and positioning of customization compared to the Graphic Draft.
- Without prejudice to the accepted tolerance margin referred to in the previous paragraph, the Customer loses the right to raise any objection relating to discrepancies or defects connected to the customization of the Products if they do not report such discrepancies or defects to the email address [Clienti@promo77.com] within 15 (fifteen) days from the receipt of the Products, specifying the objection, attaching photographic documentation and providing proof of timely reporting.
16. Privacy
>Promo 77 processes Customers’ personal data according to what is provided by the Privacy Policy and the Cookie Policy published on the Website.
17. Competent Court
All disputes arising from the Terms, or otherwise connected to them, including those relating to their validity, interpretation, effectiveness and those concerning the execution of the Order (i) shall be exclusively settled by the Court of Bologna, in case of purchases made by Professionals; (ii) shall be settled by the court of residence or domicile of the Customer, in case of purchases made by Consumers.
18. ODR Platform for Alternative Dispute Resolution
In case of disputes, the Consumer can act extrajudicially by using the ODR platform established by Regulation (EU) no. 524/2013 and file a complaint by filling in the electronic form available in the official languages of the European Union. 19. Invitation to Customers
Promo 77 invites all Customers to communicate any service issues they believe they have suffered, or any dissatisfaction, by sending an email to the contacts indicated on the Website so that an amicable solution can be found. Using the same contacts, Customers can ask Promo 77 for information and assistance regarding the Website or the purchase process.
20. Modification of the Terms
Promo 77 reserves the right to modify these Terms at any time and without notice. The modifications to the Terms will be effective only for Orders concluded after the publication of the modified Terms.
21. Website accessibility
Promo 77 is committed to making the Website accessible to all Customers, in compliance with the European Accessibility Act, implemented in Italy through Legislative Decree no. 82/2022. The Website is therefore designed to be usable; however, should a Customer encounter difficulties in accessing content or wish to receive assistance, they can contact Promo 77 at the address [Clienti@promo77.com].
